ZilAPI (zilapi.com) is a developer API run by Inverse.AI LLC ("we", "us"). These terms apply to your ZilAPI account, your API keys, the website, the API and the documentation (together, "the service"). By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service. Section 8 (using your audio to improve our models) works differently: it applies only to jobs created after you accept this version of the terms. 1. Your account
- You must give us accurate sign-up details and keep them up to date.
- You can sign up with email and password, or with Google or GitHub.

- You are responsible for everything done with your account and your API keys.
2. API keys
- Keeping your API keys secret is your responsibility. Do not put them in public code, apps or web pages.
- All billable usage made with your live keys is charged to your account, even if someone else made it. Test keys are free (section 10).
- If you think a key has leaked, revoke it and create a new one. Tell us at support@zilapi.com if you need help.
3. Prepaid credit
- ZilAPI is prepaid. You buy credit in US dollars before you use the service. Jobs with live keys only run on credit you have bought.
- Top-ups start at $10 and go up to $1,000 per top-up (we can raise this on request). They are paid by card through Stripe.
- There is no top-up fee: a $20 top-up adds $20 of credit. Any tax is extra and shown at checkout.
- There is no free trial and no free credit.
- Credit expires 1 year after the purchase it came from. Expired credit cannot be used for new jobs or refunded.
- Taxes: sales tax or VAT is worked out by Stripe Tax and shown at checkout before you pay. Tax is not added to your credit.
4. Prices
- Each model has its own price, shown on its model page and in the docs.
- Noise Reducer (denoise) costs $0.033 per audio minute, billed per second: the length is rounded up to the next whole second, with a 60-second minimum per job.
- When you create a job, we hold its price from your credit. You are charged only when the job succeeds. Failed or cancelled jobs are not charged, and the held credit goes back to your balance, unless its purchase has expired in the meantime (then that credit expires).
- You can cancel a job only while it is queued, before processing starts.
- We give 30 days' notice before a price increase. Price cuts take effect immediately. A job you have already submitted keeps its price.
5. Refunds
You can ask for a refund of unused credit within 14 days of the purchase it came from. The refund goes to the original payment method, in whole cents; any part of a cent stays as credit. Full rules are in the Refund Policy.
6. Disputes and chargebacks
If you open a dispute or chargeback with your bank or card issuer, we freeze your account: your keys stop working and you cannot buy credit or start jobs. This happens whenever a dispute or chargeback is opened. If a reversed payment leaves a shortfall, we record it as money you owe us, kept separate from your credit balance. 7. Your files
- We claim no ownership of the files you upload or of the results.
- You must have the right to upload every file you send us. If a file contains other people's voices or personal data, you must have their permission, or another lawful basis, for us to process it as these terms and the Privacy Policy describe, including section 8. - Retention: uploads are deleted 3 days after we validate them, and results are deleted 7 days after the job succeeds. Download your results before then. [TO CONFIRM: TC-21 retention for uploads that never pass validation and for files from failed jobs.]
- With live keys, files can be up to 6 hours long and up to 5 GB in size. With test keys, files are limited to 25 MB.
- Results are delivered as MP3 at 192 kbps.
8. Using your audio to improve our models
We may use the audio you send us to train and improve our models.
- This applies only to jobs created after you accept this version of the terms. Jobs created before that are not used.
- We record your choice on your account and on each job.
- Copies we keep for training are kept separately from your job files. They are not subject to the 3-day and 7-day deletion periods in section 7.

9. Limits
To protect the service from runaway scripts, limits apply per key. Each API key can make:
- 120 create requests per minute (uploads and jobs), and
- 1,200 reads per minute (for example, checking a job's status).
Each account can also have at most:
- 10 open uploads at a time,
- 20 GB of stored uploads, and
- 30 file checks per hour (we check each upload when you complete it).
Before your first purchase, the limits are 1 GB of stored uploads and 5 file checks per hour. [TO CONFIRM: TC-26 whether these per-account limits should be published, and their wording.]
No per-account concurrency cap applies: we do not limit how many of your jobs run at once. Jobs may wait in a queue when the service is busy. If you need higher limits, email support@zilapi.com.
10. Test keys
Test keys are free. Use them to build and test your integration. They run in a sandbox: test jobs run no model on your audio, return canned (pre-made) results and use no credit. Test files are limited to 25 MB. Files you upload with a test key are still stored and checked like any other upload.
11. Acceptable use
You must follow the Acceptable Use Policy. We may suspend or close accounts that break it.
12. The service is provided "as is"
- The service is provided as is and as available. We do not promise it will always be available, error-free or fit for a particular purpose.

- We may change, add or remove models and features. [TO CONFIRM: TC-17 notice period before a model or API version is retired.]
13. Our intellectual property
The service, our models, the website and the documentation belong to Inverse.AI LLC and are protected by intellectual property laws. You may not copy, distribute or create derivative works of them without our written permission, except that you may use the documentation and code examples to build and run your integration with ZilAPI. We claim no ownership of your files or results (section 7).
14. Limitation of liability
[TO CONFIRM: TC-8 counsel to replace this section with a plain-language cap, for example the amount you paid us in the last 12 months, and its exceptions. Until then it carries Noise Reducer's wording below, which excludes all damages and may not be enforceable.]
Noise Reducer's current wording: to the extent the law allows, Inverse.AI LLC is not liable for any direct, indirect, incidental, special or consequential damages from using, or being unable to use, the service. Nothing in these terms limits rights you have by law that cannot be excluded.
15. Suspension and closing your account
- You can close your account at any time by emailing support@zilapi.com.
- We may suspend or close an account that breaks these terms, does not pay, or puts the service or other users at risk.

16. Changes to these terms
We may update these terms. Each version has a date and a version number. [TO CONFIRM: TC-7 how much notice we give, and how, before a change takes effect.] Changes about using your audio for training apply only to jobs created after you accept the new version.
